1. Agreement to Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “user”) and Elite Admission HQ, LLC, a California limited liability company (“Elite Admission HQ,” “we,” “us,” or “our”), governing your use of our website, services, and any related offerings (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately discontinue use of our Services.

You must be at least 13 years old to use the Services. If you are under 18, you may only use the Services with parental or guardian consent.

2. Our Services

Our Services are intended for users located in the United States. If you access our Services from outside the United States, you are responsible for compliance with applicable local laws.

When you purchase our Services, you receive a license for lifetime access to the digital educational materials you purchased. For purposes of these Terms, “lifetime access” means access for as long as Elite Admission HQ continues to make the Services and materials available in their current or substantially similar form. Elite Admission HQ does not guarantee that the Services will be available in perpetuity, and we reserve the right to modify, replace, or discontinue the Services at our discretion.

Our Services are not designed to comply with industry-specific regulations (e.g., HIPAA, GLBA, FERPA). If your use of our Services would be subject to such laws, you may not use our Services.

3. Intellectual Property

All content provided through our Services — including but not limited to text, graphics, software, videos, and trademarks — is owned or licensed by Elite Admission HQ and protected by copyright, trademark, and other intellectual property laws.

You may access and use the Services for your personal, non-commercial use only. You may not copy, reproduce, distribute, modify, or exploit any portion of our Services or content without our prior written permission.

4. User Representations

By using the Services, you represent and warrant that:

You have the legal capacity to enter into these Terms.
If you are under the age of 18, you have the consent of your parent or guardian to enter into these Terms.
You will not use the Services for any unlawful purpose.
You will not attempt to disrupt or interfere with the operation or security of the Services.
Any information you provide is accurate, complete, and current.

We reserve the right to suspend or terminate access if you breach these representations.

5. Purchases & Payment

We currently accept the following forms of payment:

PayPal, Venmo, Visa, Mastercard, American Express, Discover

By submitting payment information, you authorize us to charge your chosen payment method for all fees, including any applicable taxes. All amounts are due in U.S. dollars.

Certain information is gathered by the payment method provider you use to purchase our Services through this website, including, but not limited to, your credit card or account number. Such information is not captured directly by Elite Admissions HQ, and it is not available to us for any purpose. All such information is encrypted before transmission and is not stored directly or indirectly on this website. The capture, storing and use of such information is subject to the terms of the privacy policy of the payment method provider you use for your purchase. We suggest that you familiarize yourself with the terms of their privacy policy. You agree that Elite Admissions HQ will not be liable for any loss or misuse of any information gathered by the payment method provider you select to make your purchase of our Services.

We reserve the right to correct errors in pricing or billing even if payment has already been processed.

6. Refund Policy

All sales are final. Because our Services involve a one-time purchase of digital educational materials with lifetime access, we do not offer refunds, returns, or exchanges once a purchase has been completed.

If you experience technical issues accessing purchased materials, you must notify us promptly at admin@eliteadmissionhq.com, and we will make reasonable efforts to restore access. Delivery of functioning access credentials will be deemed full performance of our obligations.

To the maximum extent permitted by law, you acknowledge and agree that by completing your purchase you are waiving any statutory “cooling-off,” return, or refund rights that might otherwise apply to digital goods. Nothing in this section limits any non-waivable consumer rights under applicable law.

7. Prohibited Activities

You may use the Services only for lawful purposes and in accordance with these Terms. The Services may not be used for any commercial purpose unless expressly authorized by Elite Admission HQ. By using the Services, you agree not to:

Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or other unlawful means.
Interfere with or disrupt the security, integrity, or performance of the Services, including by introducing viruses, malware, or other harmful code.
Collect or harvest information about other users (including email addresses or account details) without their consent.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity, including falsely implying endorsement by Elite Admission HQ.
Use automated means (bots, scrapers, spiders, scripts, or similar tools) to access, copy, or monitor the Services without our prior written permission.
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services for commercial gain without authorization.
Reverse engineer, decompile, disassemble, or attempt to derive the source code to any part of the Services.
Post, transmit, or share any material that is unlawful, threatening, defamatory, obscene, harassing, hateful, discriminatory, or otherwise objectionable.
Use the Services to stalk, harass, intimidate, or threaten others.
Engage in fraudulent activity, including but not limited to payment fraud, account takeover, or submission of false information.
Create multiple accounts, fake accounts, or use false identities for deceptive or abusive purposes.
Use the Services in a manner that damages, disables, overburdens, or impairs our systems or interferes with other users’ enjoyment of the Services.
Circumvent, disable, or interfere with security features, digital rights management, or restrictions on use of the Services or its content.
Remove or obscure any copyright, trademark, or other proprietary notices from the Services or related materials.
Use the Services to promote or conduct illegal activities, or in violation of any applicable federal, state, or local law.
Use the Services to advertise or solicit third-party products or services without our prior written approval.
Attempt to sell, rent, sublicense, or otherwise transfer your account or access credentials.
Engage in any conduct that, in our sole discretion, harms Elite Admission HQ, its users, or our reputation.

Elite Admission HQ reserves the right to investigate and take appropriate action (including suspension or termination of accounts, civil legal remedies and referral to appropriate law enforcement agencies) for violations of this section.

8. Privacy

Your use of the Services is also governed by our Privacy Policy.

9. Service Availability

We make reasonable efforts to keep the Services available, secure, and up to date. However, we cannot guarantee continuous, uninterrupted, or error-free access. The Services may experience downtime for maintenance, technical issues, system updates, or factors beyond our control (such as network outages, acts of God, or third-party service failures).

We reserve the right, at our sole discretion, to update, modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also limit the availability of the Services, in whole or in part, to any user, geographic area, or jurisdiction if we determine it is necessary or appropriate.

You agree that Elite Admission HQ shall not be liable for any interruption, suspension, modification, or discontinuance of the Services, nor for any loss, damage, or inconvenience resulting from your inability to access or use the Services. Nothing in these Terms obligates us to maintain or support the Services, or to provide updates, corrections, or new releases.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

11. Dispute Resolution

Informal Resolution

Before initiating arbitration, both parties agree to attempt in good faith to resolve any dispute informally for at least 30 days after written notice.

Delegation Clause

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.

Costs

To the extent required by law, Elite Admission HQ will bear all arbitration fees and costs in excess of what you would otherwise have to pay to file a lawsuit in court. Each party will be responsible for its own attorneys’ fees, unless the arbitrator determines that a claim is frivolous or brought in bad faith.

Restrictions

ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. CLASS ACTIONS, COLLECTIVE ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND REPRESENTATIVE PROCEEDINGS ARE NOT PERMITTED. YOU AND ELITE ADMISSION HQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY.

Exceptions

Either party may bring claims relating to intellectual property rights or requests for injunctive relief directly in a California state or federal court.

Opt-Out Right

You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending written notice to legal@eliteadmissionhq.com with the subject line “Arbitration Opt-Out.” Your opt-out will not affect any other provisions of these Terms.

12. Disclaimers

ELITE ADMISSION HQ, LLC DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. WE CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. WE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DISCLAIM ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST US FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

We reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Servcies, or any portion of the Services, for any reason; (2) to modify or change the Services, or any portion of the Services, and any applicable policies or terms; and (3) to interrupt the operation of theServices, or any portion of theServices, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ELITE ADMISSION HQ, LLC OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFIT, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES — REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) — WILL AT ALL TIMES BE LIMITED TO THE GREATER OF ONE DOLLAR ($1.00 USD) OR THE AMOUNT PAID BY YOU TO ELITE ADMISSION HQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THOSE LAWS APPLY TO YOU, SOME OR ALL OF THE DISCLAIMERS AND LIMITATIONS ABOVE MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14. Indemnification

You agree to defend, indemnify, and hold harmless Elite Admission HQ, LLC, including our affiliates, members, officers, directors, employees, contractors, agents, successors, and assigns, from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees and litigation costs) arising out of or relating to:

Your access to or use of the Services;
Your breach of these Terms or any applicable law or regulation;
Your violation of the rights of a third party, including but not limited to intellectual property, privacy, or publicity rights;
Any content, data, or information you submit, transmit, or provide in connection with the Services (if applicable);
Any fraudulent, negligent, or intentional misconduct by you; or
Any interaction between you and a third party in connection with your use of the Services.

We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of such claims and may not settle any claim without our prior written consent.

This indemnification obligation will survive termination of these Terms and your use of the Services.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Upon termination, all provisions of these Terms that by their nature should survive will remain in effect, including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

If your account is terminated due to a breach of these Terms, you will not be entitled to any refund of fees paid, including the one-time purchase fee for lifetime access. You acknowledge and agree that the lifetime access license is conditioned on compliance with these Terms and may be revoked without refund in the event of violation.

If your account is terminated without cause by Elite Admission HQ, we will make commercially reasonable efforts to preserve your lifetime access or, at our discretion, provide a refund of the one-time purchase fee.

16. Electronic Communications & Signatures

By using the Services, you consent to receive electronic communications from us. You agree that electronic agreements, notices, and records have the same legal effect as written documents signed in ink.

17. California Users & Residents

18. Miscellaneous

These Terms constitute the entire agreement between you and Elite Admission HQ regarding the Services. If any provision is found unenforceable, the remainder will continue in effect.

We may assign our rights and obligations without restriction. Failure to enforce any provision shall not constitute a waiver.
